The Business Law Section of the Tennessee Bar Association will present a 3 hour seminar discussing the adopted 2012 amendments to the Tennessee Business Corporation Act, including the following: action by written consent of less than all shareholders; mergers and conversions of entities; conflict of interest standards for directors and officers; and electronic notices and electronic signatures. The seminar will also cover legislative proposals and discuss the adopted revisions to Article 9 of the UCC that will go into effect January 1, 2013.
