SEC Implements Registration Requirements for Venture Capital, Real Estate and Other Private Fund Managers
July 11, 2011
By: Leslie Stophel Maclellan, Jason R. Mirmelstein
On June 22, the SEC issued its final rules implementing the amendments made by the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010 to the Investment Advisers Act of 1940. These rules include assets under management thresholds and other criteria that determine whether advisers to venture capital, private equity, hedge, real estate and other privately managed funds are required to register with the Securities and Exchange Commission. As a result of the reforms many previously exempt advisers will be required to register with the SEC. The new rules extend the registration date for such advisers to March 2012.
